These Terms of Service ("Terms") govern access to and use of BidReady, a suite of software tools for government contracting business development, operated by Berkshire Insurance Services LLC ("BidReady," "we," "us," or "our"). By creating an account or using any BidReady tool, you ("Customer," "you") agree to these Terms.
If you do not agree, do not use BidReady.
BidReady provides SaaS tools for government contractors, including but not limited to: opportunity tracking, AI-assisted proposal drafting, subcontractor compliance tracking, teaming agreement generation, and related modules (collectively, the "Services"). The Services are informational and organizational tools. BidReady does not provide legal, accounting, or compliance advice, and using BidReady does not guarantee contract awards, regulatory compliance, or any business outcome.
Any AI-generated content (proposal drafts, capability statements, teaming agreement drafts, compliance summaries, etc.) is a starting point only. You are solely responsible for reviewing, verifying, and — where appropriate — having qualified counsel or compliance professionals review any output before submission to a government agency or use in a binding agreement.
You must provide accurate information when creating an account and keep your login credentials confidential. You're responsible for all activity under your account. Notify us immediately at support@govready.co if you suspect unauthorized access.

You retain ownership of all data you upload or input into BidReady (opportunity records, capability statements, vendor lists, documents, etc.) ("Customer Data"). You grant BidReady a limited license to store, process, and display Customer Data solely to provide the Services, including passing relevant Customer Data to third-party AI providers (see Privacy Policy) to generate the outputs you request.
You're responsible for the accuracy and legality of Customer Data you upload, including compliance with any confidentiality obligations owed to third parties (e.g., subcontractor data, partner agreements).
BidReady and its underlying software, design, and branding are owned by Berkshire Insurance Services LLC. These Terms don't grant you any ownership in the Services themselves — only a right to use them per your subscription. AI-generated text produced for you (proposal drafts, agreement drafts, etc.) is yours to use as you see fit, subject to Section 1's disclaimer.
BidReady relies on third-party infrastructure, including Stripe (payments), Supabase (data storage), and Anthropic's Claude API (AI generation). Your use of BidReady is also subject to the applicable terms of those providers where relevant. We're not responsible for outages or issues originating from third-party providers, though we'll work to restore service promptly.
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR SUBMISSION TO ANY GOVERNMENT AGENCY WITHOUT FURTHER REVIEW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERKSHIRE INSURANCE SERVICES LLC'S TOTAL LIABILITY ARISING FROM YOUR USE OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR LOST CONTRACTS, LOST PROFITS, OR INDIRECT OR CONSEQUENTIAL DAMAGES.
We may suspend or terminate your access for breach of these Terms, non-payment, or misuse of the Services. You may cancel your subscription at any time. Upon termination, we'll retain Customer Data for a reasonable period (see Privacy Policy) to allow for reactivation, after which it may be deleted.
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in New York, and both parties consent to that jurisdiction.
